1 Acceptance of Agreement

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User” or “you”) and YayTally (“we”, “us”, or “our”) governing your access to and use of the website located at yaytally.com and its related web tools.

2 Description of Service

YayTally is a web-based digital tally counter software application providing real-time number tracking, multi-counter grid views, sound and vibration haptic feedback, automated timers, real-time multi-device cloud synchronization, and data export capabilities (CSV and PDF formats).

The service is provided free of charge for personal, educational, commercial, and organizational counting needs.

3 User Accounts & Security

You may use YayTally without registering an account (Guest Mode). If you register an account or use cloud synchronization features:

• You are responsible for maintaining the confidentiality of your account credentials.
• You agree to notify us immediately of any unauthorized access to your cloud account.
• You are solely responsible for all activities and data entries logged under your account or shared counter links.

4 Acceptable Use & Conduct

When using YayTally, you agree NOT to:

• Attempt to reverse-engineer, decompile, or tamper with the web application infrastructure.
• Use automated scripts, bots, or scrapers to overload our servers or cloud synchronization endpoints.
• Use shared counter links to store or distribute malicious software, phishing content, or unlawful material.
• Interfering with the security or proper functioning of the web application.

5 Intellectual Property

All rights, titles, and interests in and to YayTally—including software code, branding, trade names, logos, design assets, UI layouts, graphics, and domain names—are the exclusive property of YayTally. You are granted a limited, non-exclusive, revocable license to access and use the software for personal or business counting purposes.

6 Disclaimer of Warranties

The service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

While we strive for 100% uptime and data reliability, we do not guarantee uninterrupted server availability or that data stored in guest browser LocalStorage will never be cleared by browser settings or device storage maintenance utilities.

7 Limitation of Liability

To the maximum extent permitted by applicable law, YayTally and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of your use or inability to use the service.

8 Modifications to Terms

We reserve the right to update or modify these Terms at any time. Any changes will be posted on this page with an updated “Effective Date”. Continued use of YayTally after changes become effective constitutes acceptance of the new Terms.
